Reliance and Meta Partner for Landmark AI Infrastructure Project in India

Khaitan & Co has advised Reliance Industries Limited (RIL) on its strategic partnership with Meta Platforms, Inc. for the development of Meta's first artificial intelligence-enabled data centre in India.

As part of the transaction, Reliance will develop a built-to-suit 168 MW hyperscale data centre at Jamnagar in Gujarat, which will be leased by Meta to support its growing artificial intelligence and computing requirements. The project marks a significant step in strengthening India's digital infrastructure and reflects the increasing investment by global technology companies in AI-focused facilities in the country.

Under the arrangement, Reliance will provide end-to-end services for the facility, including its design and construction, utility management, renewable power supply, network connectivity and managed services. The data centre is expected to play a key role in supporting Meta's expanding AI operations and computing capabilities.

Khaitan & Co advised Reliance on all legal aspects of the transaction. The firm's mandate included transaction structuring, drafting and negotiation of project and commercial documentation, regulatory and compliance-related advice, as well as support for execution of the transaction.

The core deal team from Khaitan & Co was led by Partner Atman Desai and comprised Hetashri Khajanchi, Senior Associate, and Vivan Jhaveri, Associate.

The transaction also received support from specialists across multiple practice areas. The indirect tax team included Partner Mayank Jain and Principal Associate Pranay Sahay. The dispute resolution team comprised Partner Divya Chaturvedi and Associate Chandan Kumar. Real estate-related aspects were handled by Partner Mudit Shah and Associate Vidhi Mahesh Patel.
